Poste proposé : Legal Director
  • Directly reporting to the Group CEO, your role will be to inform and advise management and employees on legal matters
  • Anticipate threats, identify opportunities and support the company's evolution
  • Set up and ensure the proper functioning of the company's legal department

DUTIES AND RESPONSIBILITIES OF THE POSITION

  • Contracts
  • Drafting and negotiation of business contracts (related to the activity of Netis Holding and its subsidiaries) and non-business contracts (related to the operation of the structure, in support of the SCM department, the human resources department...)
  • Organization and follow-up of the contracts database
  • Corporate M&A
  • Communicate clearly with internal stakeholders and transaction teams, and external counsel advising on legal aspects of M&A strategies.
  • Manage a broad range of transactions including M&A (share and asset) deals and similar transactions. Handle purchase agreement, ancillary documentation and negotiations in conjunction with external counsel.
  • Assist in coordinating the legal due diligence exercise and actively participate on issue resolution.
  • Support the corporate development team as required, including integration matters.
  • Assist managing external legal support.
  • Maintain and update M&A document databases
  • Litigations
  • Management of commercial, social, tax and other corporate litigations of Netis Holding and the subsidiaries
  • Coordination and follow-up of litigations with the lawyers in charge of the files
  • Negotiation and resolution of pre-litigations
  • Compliance and regulatory
  • Ensure the monitoring of the regulatory framework in the countries where Netis operates
  • Ensure that subsidiaries are in compliance with local and industry regulations
  • Implementation, deployment and monitoring of the procedure set up by the regulations (Code of Conduct, anti-money laundering, anti-gift policy, etc.
  • Legal office and governance
  • Setting up and monitoring all the group's governance bodies
  • Follow up and update the statutory documents of all group companies (articles of association, company profiles, shareholders' agreements,...)
  • Preparation of board meetings and general meetings for each of the group's entities with the company secretary
  • Follow-up of the recommendations of the Board of Directors
Profil recherché pour le poste : Legal Director
  • University degree (Master’s degree or equivalent) in in business law, contract law, labor law with at least 5 years of relevant experience as corporate lawyer or in a law firm
  • Previous experience in a telecom company operating in Africa is a plus
  • Strong knowledge business law, contract law and corporate governance
  • Good Understanding of the legal and regulatory context in several African countries (OHADA, EALS...)
  • Excellent oral and written communication
  • Fluent in English and French
  •  Organized, rigorous and autonomous
  • A critical mind and analytical and synthesis skills are an asset for this position.
